The Constitution of the
Electronic Business Association
Of
Texas Christian University

Article I:

The organization shall be known as the Electronic Business Association, or by the abbreviation EBA. The EBA was created in conformance with all Texas Christian University regulations.

Article II: Mission Statement

The mission of the EBA is to further the educational development of undergraduate Electronic Business majors through association with other students, faculty members, potential employers and other influential members of the community, thus cultivating a unified body of students and alumni.

Article III: Membership

Qualifications for membership in the EBA include the following:
  1. Formal acceptance into the Electronic Business Major at Texas Christian University.
  2. Continual enrollment in Electronic Business courses at TCU.
  3. Payment of a fee of $20.00 each semester. An individual will be considered a member in good standing when this fee has been paid.
  4. To ensure fulfillment of the Association’s mission, all members will be strongly encouraged to participate in professional, fund raising, community service and social events held by the Association, as well as other events of special interest to the EBA.

Article IV: Goals

The EBA will strive to:
  1. Represent the students of the Electronic Business major with the highest degree of personal integrity and professional ethics.
  2. Provide opportunities to complement the education process and promote the Electronic Business major by:
    1. Creating opportunities for professional development.
    2. Creating networking opportunities with alumni and business executives.
    3. Involving Electronic Business students in socially beneficial service activities.
  1. Create situations in which members of the association can build lifetime camaraderie through social interaction.
  2. Serve as a liason to faculty on academic issues such as, but not limited to: program curriculum, courses, and course content.
  3. Serve as a liason to administration, university officers, and other student organizations.

Article V: Government Organization

Section 1: Executive Board
   All executive powers shall rest within the Executive Board. The EBA Board shall consist of: President, Secretary, Treasurer, Vice President of History/Alumni Relations, Vice President of Professional Development, Vice President of Public/Media Relations, Vice President of Technology and Vice President of DevStudio.
  1. President

Duties of the President include, but are not limited to:

    1. Representing the Electronic Business students at all university and school activities.
    2. Presiding over all executive and general meetings and overseeing all activities of the Association.
    3. Maintaining committee order and ensuring that each committee has a fair number of individuals serving on it.
    4. Delegating responsibilities of the year’s agenda to the officers of the Board.
    5. Maintaining constant communication with the faculty advisor(s) and other school authorities.
    6. Envisioning new strategic directions for the association.

  1. Secretary

Duties of the Secretary include, but are not limited to:

    1. Keeping all records, except financial.
    2. Keeping track of member attendance.
    3. Handling written correspondence.
    4. Preparing a written report of each meeting.
    5. Designing and creating a periodic association newsletter.
    6. Reporting the activities and achievements of the EBA at the end of the semester.

  1. Treasurer

Duties of the Treasurer include, but are not limited to:

    1. Collecting all funds internally and externally.
    2. Making all necessary expenditures with authorization from the President and the faculty advisor(s).
    3. Working closely with the faculty advisor(s) in keeping financial records.
    4. Submitting a written financial report to the membership at the last regular meeting of each semester.
    5. Submitting relevant financial reports to the Technical Chair for posting on the Internet.
  1. Vice President of Professional Development

Duties of the Vice President of Professional Development include, but are not limited to:

    1. Presiding over general meetings in the absence of the President.
    2. Serving as the chairperson of the Professional Development committee.
    3. Maintaining a mentoring program between members of the Association and members of the professional community.
    4. Making arrangements for speakers and association events.

  1. Vice President of History/Alumni Relations

Duties of the Vice President of History/Alumni Relations include, but are not limited to:

    1. Maintaining contact with Association alumni.
    2. Creating an annual contact list to be distributed to all members and alumni.
    3. Working closely with the Technical Chair to put the historical information of the association on the Internet.
    4. Developing alumni relationships through Alumni of the Month website feature.
    5. Keeping all historical records of the chapter.

  1. Vice President of Public/Media Relations

Duties of the Vice President of Public/Media Relations include, but are not limited to:

    1. Serving as the chairperson of the Public/Media Relations committee.
    2. Correspondence with all media.
    3. Working closely with the faculty advisor to obtain sponsorship.
    4. Promoting all of the association events on campus.
  1. Vice President of Technology

Duties of the Vice President of Technology include, but are not limited to:

    1. Serving as chairperson of the Technology Committee.
    2. Developing and maintaining the EBA website.
    3. Working closely with other officers to keep webpage content current.
    4. Researching the latest technology trends and reporting findings to the Association.
    5. Informing Electronic Business faculty of research findings and recommending technical course content.

  1. The Executive Board

Duties of the Executive Board collectively include, but are not limited to:

    1. Deciding on the creation of additional committees when necessary.
    2. Reviewing and updating the Constitution on a yearly basis.

Article VI: Parliamentary Procedure

All parliamentary procedure shall be governed by Robert’s Rules of Order unless otherwise specified.

Article VII: The Faculty Advisor(s)

  1. The administration of the university shall appoint a faculty advisor(s) who will be the personal representative of the administration.
  2. The advisor(s) shall serve for at least one full school year, shall attend the meetings of the association, and shall aid and advise the group on matters under consideration.
  3. The faculty advisor(s) shall be responsible for the continuity of records and other property of the EBA.
  4. The faculty advisor(s) will be responsible for ensuring the accuracy of the Association’s financial records.
  5. The faculty advisor(s) will have discretion over the payment of Association dues.

Article VIII: Election Code

Section 1: Timing
Officer elections shall be held at the second-to-last regular business meeting of the spring semester.

Section 2: Eligibility
Potential candidates must meet all EBA membership requirements, as well as the following:

  1. All offices will require a minimum 2.75 cumulative GPA.
  2. In accordance with university policy, officers must be enrolled in at least 12 semester hours for all terms in office. Graduating students who are classified as fifth year seniors will be allowed to hold office, though they may not be considered “full-time” students by the university.
  3. Every officer must be able to serve the full year term (April through April).

Section 3: Nomination process

  1. Nominations will be accepted for all offices via email prior to the second-to-last meeting of the Spring semester.
  2. Any EBA member may nominate and be nominated for a position on the Executive Board.
  3. Candidates may be nominated and run for multiple positions. However, candidates may only run for a single Vice Presidential position.
  4. In cases of candidates running for multiple positions, the candidate must accept the highest position elected to.
  5. Elections will be held in the following order:
    1. President
    2. Vice Presidents
    3. Secretary
    4. Treasurer

Section 4: Quorum
A quorum of at least 50% of the current membership body must be present to hold an official election. If the quorum is not fulfilled, the EBA President must delay the election for twenty minutes. If after the delay, there is not such quorum, the election must be postponed until the next available date or will be completed via email.

Section 5: Speeches
Each Presidential candidate will give a speech for no more than 5 minutes. All other candidates will give a speech for no more than 3 minutes. After speeches are given for each position, there will be a question and answer session.

Section 6: Voting procedures
Only members of the EBA who are in good standing will be allowed to participate in the voting process. Faculty shall be invited to observe and verify the process. Votes will be cast by secret ballot and shall be counted by faculty. The person receiving the most votes wins the election. Recounts may be requested within 48 hours of the announcements of the results. In the event of a tie, the following process shall take place:

  1. If only two candidates are running for the position, the candidates will return to the room for an additional question and answer session. Another vote will then be taken. If the tie still remains, the Executive Board will decide the outcome.
  2. If more than two candidates are running for the position, a runoff between the candidates tied with the highest number of votes will commence. If the tie still remains, the Executive Board will decide the outcome.

Section 7: Removal from office
A petition from at least one-fourth of the members of the chapter’s Executive Board is required to place the issue of impeaching an elected officer or chair before the Association at the general meeting. Should greater than 50% of the Association members in good standing, present and voting, approve such motion, the Association shall determine a date for the recall proceeding. At the recall proceeding, a two-thirds vote of the members in good standing, present and voting, shall be required to remove and elected officer or chair from their officer/chair position.

Section 8: Vacancy from office
In case of a vacancy of an Executive position, a new election will be held to fill the position. During the period in which the position is not filled, the remaining officers will fulfill the duties of the vacant office.

Section 9: Transition period
The elected Executive Board shall take office in a period no longer than two weeks after the elections. During this transition, the former Board shall orient and inform the elected Board about the unfinished matters and upcoming events and projects. The new EBA President shall set the calendar for the Executive Board meetings and the Vice President shall preside over the first general meeting of the semester.

Article IX: Special Provisions


The EBA President has power to dispute all expenditures and Executive Board resolutions. In such a case, the issue will be resolved by a simple majority vote at the next general meeting.
  1. This Constitution of the Electronic Business Association may be amended or revised by a majority vote of the Association membership.


Article X: Adoption Clause

The bylaws of the Electronic Business Association were written on September 2000, adopted on September 2000, and became effective on October 2000.

Article XI: Transitory Clauses


The Election Code shall become effective for nominating and electing the Executive Board of 2000/2001.
  1. From the time of acceptance of this EBA Constitution, until they become effective, the faculty advisor(s) will dictate meetings and election.
  2. The first elections will be held according to this Constitution.
  3. The first officers will serve a regular term of one year in addition to the remaining months of the Fall 2000 semester.
  4. Those individuals graduating in 2002 who are classified as fifth year seniors will be allowed to hold office, though they may not be considered “full-time” students by the university.
